Terms of Service

These Terms of Service form a binding agreement between you and payable.link, operator of payable.link. References to Company in these Terms include payable.link and the pronouns we, us, and our. By accessing or using payable.link, you agree to these Terms. If you do not agree, do not use the platform.

1. Platform Scope

payable.link is a software platform that enables creators and other sellers to upload digital files, set a USDC price, and share a link. Buyers can purchase access through wallet-based flows and receive download access subject to these Terms and any listing-specific limits (for example, access windows or download caps).

We provide platform and processing infrastructure only. Unless explicitly stated otherwise, we are not the seller, distributor, licensor, publisher, or merchant of record for user-submitted files.

2. Eligibility and Compliance

  • You must have legal capacity to enter contracts under applicable law.
  • You must be at least 18 years old or the age of legal majority in your jurisdiction, whichever is higher.
  • You are responsible for complying with local laws, tax obligations, sanctions, export controls, and digital-content rules applicable to your activity.
  • You may not use the platform if use is prohibited in your jurisdiction.

3. Accounts and Wallet Security

Access is wallet-first and may include Sign-In With Ethereum (SIWE) or successor methods. You are solely responsible for wallet custody, private keys, recovery phrases, transaction approval, and all actions performed through your wallet.

We cannot reverse blockchain transactions, recover lost keys, or restore access if your wallet is compromised. You must promptly notify us of suspected unauthorized activity.

4. Seller Responsibilities

  • You represent and warrant you own or have all rights needed to upload, distribute, and monetize each file.
  • You will not upload infringing, illegal, deceptive, malicious, harmful, or policy-violating content.
  • You will provide accurate listing details, including pricing and any usage limitations.
  • You grant us a limited, worldwide, non-exclusive, royalty-free license to host, process, cache, secure, transmit, and display necessary metadata and previews solely to operate, improve, secure, and enforce the platform.
  • You are primarily responsible for customer claims relating to your listing quality, description accuracy, rights scope, and refund principal (sale amount excluding platform fees), except where non-waivable law requires otherwise.
  • You may not buy your own listings, coordinate purchases through affiliated wallets/accounts, or engage in wash trading, circular purchases, fake demand generation, or any similar manipulative behavior.

5. Buyer Rights and Restrictions

A purchase grants only the access rights explicitly stated on the listing. Unless the seller states broader rights in writing, buyers receive a personal, non-exclusive, non-transferable license to use the file for lawful purposes only.

Buyers may not resell, sublicense, publicly redistribute, mirror, scrape, or bypass technical restrictions on files or access controls.

6. Payments, Fees, and Settlement

The platform uses USDC payments on supported chains (including Base) and x402-compatible purchase flows. By paying, you authorize the transaction according to your wallet and network rules.

For digital-content purchases where required by applicable law, checkout captures explicit confirmations for immediate performance and withdrawal-right loss before access is released.

  • Network fees, gas, failed-transaction costs, and blockchain latency are your responsibility.
  • Platform commissions and pricing are disclosed on listing or checkout interfaces and may change prospectively.
  • Blockchain-confirmed transfers are generally final and irreversible.
  • Where the platform pays any amount on your behalf for a claim linked to your listing, we may recover such amount by offset, recoupment, or deduction from your current or future earnings, to the maximum extent permitted by law.

7. Moderation, Suspension, and Enforcement

We may review content and account activity for trust, safety, legal compliance, sanctions, fraud, abuse, malware, and policy violations. We may remove or restrict access to content, suspend listings, withhold release of access, or suspend accounts at our sole discretion, with or without notice, where legally permitted.

In current or future workflows, access release may be delayed or denied pending moderation or legal review.

8. Prohibited Conduct

  • Infringement of intellectual property or privacy rights.
  • Distribution of malware, exploit code, or unauthorized data.
  • Money laundering, sanctions evasion, fraud, or market abuse.
  • Circumventing paywalls, rate limits, anti-abuse controls, or other security mechanisms.
  • Reverse engineering, scraping, or automated extraction beyond permitted use.
  • Creating or controlling multiple wallets/accounts to simulate demand, evade rules, manipulate metrics, or obtain improper payouts/refunds.

9. Refund Responsibility and Platform Discretion

Refund eligibility, withdrawal-right exceptions, and evidence standards are governed by the Refunds and Withdrawal Rights page. A refund request is not an automatic right to reimbursement.

For marketplace disputes, sellers are primarily responsible for refund principal. The platform may, at its sole discretion, return, waive, or credit platform-fee components for goodwill or legal compliance, without admitting liability.

We may refuse, delay, reverse internal crediting, or condition any refund-related action where there are abuse indicators, unresolved entitlement questions, legal restrictions, sanctions risks, or evidence conflicts.

10. Intellectual Property and Platform Rights

The platform, software, branding, interfaces, and non-user content are owned by or licensed to Company and protected by law. Except for the limited rights expressly granted, no rights are transferred to you.

11. Third-Party Services

We rely on third-party infrastructure and services, including wallet providers, blockchain networks, cloud storage, and payment facilitators. We do not control third-party services and disclaim liability for outages, delays, forks, exploits, policy changes, or failures beyond our reasonable control.

12. Disclaimers

THE PLATFORM IS PROVIDED AS IS AND AS AVAILABLE, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, OR SECURITY.

We do not warrant uninterrupted operation, error-free performance, or that content is complete, lawful, safe, or fit for your needs.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR DIGITAL ASSETS, ARISING OUT OF OR RELATED TO THE PLATFORM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL PLATFORM FEES WE RECEIVED FROM YOU IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) USD 100.

14. Indemnification

You agree to defend, indemnify, and hold harmless Company and its affiliates from and against claims, liabilities, losses, damages, and expenses (including reasonable legal fees) arising from your use of the platform, your content, your transactions, or your violation of these Terms or applicable law.

15. Termination and Survival

You may stop using the platform at any time. We may suspend or terminate access at any time for legal, security, or policy reasons. Provisions that by their nature should survive termination will survive, including payment finality, disclaimers, limitation of liability, indemnification, dispute provisions, and IP rights.

16. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Germany, excluding conflict-of-law principles. Any dispute shall be resolved exclusively in the courts located in Frankfurt am Main, Germany, unless mandatory law requires otherwise.

17. Changes to Terms

We may modify these Terms at any time. Updated Terms become effective when posted unless stated otherwise. Continued use after updates constitutes acceptance of the revised Terms.
